These Terms of Service ("Terms") are entered into between SyncoMind Inc. ("SyncoMind," "we," "us," or "our"), a corporation organized under the laws of the State of New York with its principal place of business in New York, NY, and you, the user of this website and any related digital properties operated by SyncoMind.
By accessing or using the SyncoMind website (syncomind.com and associated subdomains), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference herein. If you do not agree to these Terms, please do not use our website.
Commercial Services Note: These Terms govern access to and use of our website and informational digital properties only. Commercial services — including robot hardware deployment, FleetOS subscriptions, lifecycle maintenance, and Academy programs — are governed by separate Master Services Agreements (MSAs) and Statements of Work (SOWs) negotiated and executed between SyncoMind and individual commercial customers. In the event of a conflict between these Terms and an executed MSA, the MSA controls.
SyncoMind offers the following categories of commercial services, each described briefly here. Detailed terms, pricing, service levels, and commitments are defined in the applicable commercial agreements executed with each customer:
Provision of AGIBOT humanoid robots and related hardware on a subscription or defined-term basis. Robots remain the property of SyncoMind or its hardware partners unless otherwise specified in a commercial agreement. Includes installation, commissioning, and initial configuration at the customer's facility.
Cloud-native Software-as-a-Service platform for monitoring, managing, tasking, and updating robot fleets. Access is provided under SaaS subscription terms defined in the applicable commercial agreement, including uptime commitments, data processing terms, and acceptable use requirements.
Preventive maintenance, remote diagnostics, emergency support, and repair services for deployed robot fleets. Available as contracted ongoing support or on an as-needed basis per the applicable service agreement.
Technical training and certification programs for operators, technicians, and administrators of SyncoMind and AGIBOT robotic systems. Available to commercial customers and individual enrollees per applicable enrollment terms.
SyncoMind reserves the right to modify, update, or discontinue any service offering with reasonable notice to affected commercial customers as specified in their agreements.
You may use our website for lawful purposes related to learning about SyncoMind's services, contacting us for information, and engaging with our publicly available content. You must be at least 18 years of age to submit inquiry forms or request commercial information.

All content on this website — including text, images, graphics, logos, and software — is the property of SyncoMind Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any website content without our prior written permission, except as expressly permitted under these Terms.
Access to and use of the FleetOS platform and any other SyncoMind software is governed by the SaaS terms contained in the applicable Master Services Agreement or subscription agreement between SyncoMind and the customer. The following general principles apply:
Subject to the terms of the applicable commercial agreement and payment of all applicable fees, SyncoMind grants authorized commercial customers a limited, non-exclusive, non-transferable, revocable license to access and use FleetOS solely for the customer's internal business operations.
SyncoMind may release updates, patches, and new features to FleetOS at any time. SyncoMind will use commercially reasonable efforts to communicate material changes in advance and to minimize service disruption. Planned maintenance windows will be communicated per the applicable service level terms.
SyncoMind targets the uptime commitments specified in its commercial agreements. These targets are not a guarantee of uninterrupted service and are subject to exceptions for scheduled maintenance, force majeure events, and circumstances beyond SyncoMind's reasonable control.
Processing of customer data through FleetOS is governed by the data processing addendum in the applicable commercial agreement. SyncoMind processes such data as a service provider on behalf of the customer. Refer to our Privacy Policy for information on how we handle personal data submitted through our website.
Customers may not use FleetOS for any unlawful purpose, to interfere with the operation of the platform, or in any manner not expressly authorized by SyncoMind. Unauthorized use may result in suspension or termination of access.
The commercial deployment of humanoid robots — including hardware delivery, installation, commissioning, training, and ongoing maintenance — requires the execution of a separate Master Services Agreement between SyncoMind and the customer. These Terms of Service govern access to and use of the SyncoMind website only and do not create any commercial service obligations.
Nothing in these Terms shall be construed as an offer to provide robot deployment services, a commitment to specific pricing, availability, or service levels, or any other binding commercial commitment. Commercial terms are established exclusively through fully executed written agreements.

SyncoMind owns all intellectual property rights in the FleetOS platform, SyncoMind Academy curriculum, deployment methodologies, and all related software, documentation, and technology developed by or for SyncoMind. No transfer of intellectual property rights to the customer occurs through the provision of services. Customers receive only the limited license rights expressly granted in their commercial agreements.
AGIBOT robots and related hardware are manufactured by AGIBOT and subject to AGIBOT's intellectual property rights, end-user terms, and hardware warranties. SyncoMind is a commercialization partner, not the manufacturer, and makes no representations regarding AGIBOT's intellectual property or the scope of rights conveyed with AGIBOT hardware beyond what is expressly stated in applicable commercial agreements.
Customers retain ownership of all data and content they submit to SyncoMind or upload to the FleetOS platform. By submitting data to SyncoMind, you grant us a limited license to process that data as necessary to provide the services described in your commercial agreement, consistent with our Privacy Policy and data processing terms.
If you provide suggestions, feedback, or ideas regarding SyncoMind's services or technology, you grant SyncoMind a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into our products and services without obligation to you.
THE SYNCOMIND WEBSITE AND ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYNCOMIND DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SYNCOMIND DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SYNCOMIND DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE WEBSITE.
WARRANTIES APPLICABLE TO COMMERCIAL SERVICES — INCLUDING ROBOT HARDWARE, FLEETOS UPTIME, AND LIFECYCLE SUPPORT — ARE DEFINED EXCLUSIVELY IN THE APPLICABLE MASTER SERVICES AGREEMENT AND ASSOCIATED DOCUMENTATION. NOTHING IN THESE WEBSITE TERMS OF SERVICE CONSTITUTES A WARRANTY WITH RESPECT TO COMMERCIAL SERVICES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNCOMIND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THIS WEBSITE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF SYNCOMIND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT SYNCOMIND'S LIABILITY CANNOT BE FULLY DISCLAIMED UNDER APPLICABLE LAW, SYNCOMIND'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THIS WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
For commercial customers, liability caps and exclusions applicable to deployment services, FleetOS, and related commercial engagements are set forth in the applicable Master Services Agreement. The limitation of liability in these website Terms does not modify or supersede any liability provisions in an executed commercial agreement.
You agree to indemnify, defend, and hold harmless SyncoMind Inc. and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
SyncoMind reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at its own expense, and you agree to cooperate with SyncoMind's defense of such claims.
These Terms and any dispute arising out of or related to your use of the SyncoMind website shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in New York County, New York, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the laying of venue of any such proceeding in New York County and any objection that such courts are an inconvenient forum.
Notwithstanding the foregoing, SyncoMind may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Governing law and dispute resolution provisions applicable to commercial services are set forth in the applicable Master Services Agreement and may differ from those stated here.
SyncoMind reserves the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page. For material changes, we will make reasonable efforts to provide notice through the website or other appropriate means prior to the changes taking effect.
Your continued use of the SyncoMind website after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please discontinue use of the website. Changes to these Terms do not modify the terms of any executed commercial agreement.
We recommend reviewing these Terms periodically to stay informed of any updates.
